Welcome to Smart Order, a property management system.

The Smart Order is owned and operated by Smart Order, Inc., a Hong Kong corporation, and its subsidiaries (collectively, the "Company", "Smart Order", "We", "Us" and/or "Our").

Please read carefully the following Terms of Service (the "Terms"). By using, accessing, or applying to register to the Smart Order Platform, by any of the means acceptable to Smart Order, including through the execution of a binding agreement (all will be referred to herein as the "Smart Order Contract"), the customer ("Customer") agrees to be bound by these Terms. The Smart Order Contract is incorporated into these Terms.

User Obligations

General obligations: You must only use the website for your own lawful internal business purposes, by these terms and any notice sent by Smart Order or condition posted on the website.

Access conditions: You will ensure that all user names and passwords required to access the website are kept secure and confidential. You will immediately notify Smart Order of any unauthorized use of your passwords or any other breach of security and Smart Order will reset your password, or you can also do the same from the Administration Control Panel. As a condition of these Terms, when accessing and using the website, you must: not attempt to undermine the security or integrity of Smart Order's computing systems or networks or, where the website is hosted by a third party, that third party's computing systems and networks; not use, or misuse, the website in any way which may impair the functionality of the website, or impair the ability of any other user to use the website; not attempt to gain unauthorized access to any materials other than those to which you have been given express permission to access or to the computer system on which the website is hosted; not transmit, or input into the website, any: files that may damage any other person's computing devices or website, content that may be offensive, or material or data in violation of any law (including data or other material protected by copyright or trade secrets which you do not have the right to use); and not modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer the website or the you indemnify Smart Order against all claims, costs, damage and loss arising from your breach of any of these Terms or any obligation you may have to Smart Order, including (but not limited to) any costs relating to the recovery of any access fees that have not been paid by you.

Compliance with Laws: You represent and warrant that your use of the Service will comply with all applicable laws and regulations.

You agree to indemnify and hold us harmless from any losses, including all legal fees and expenses, that result from your breach of this section.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable right to access and use the Service and Websites only for your internal use (or for internal uses authorized by the applicable Account Administrator), and only in a manner that complies with these Terms and all legal requirements that apply to you or your use of the website. Smart Order may revoke this license at any time, at its sole discretion.

Termination

We will determine, at our discretion, whether there has been a breach of these Terms of Website Use. Where a breach has occurred, we may take such action as we deem appropriate.

Failure to comply with these Terms of Website Use constitutes a material breach of the terms upon which you are permitted to use our Website, and may result in our taking all or any of the following actions: immediate, temporary, or permanent withdrawal of your right to use our Website; immediate, temporary or permanent removal of any posting or material uploaded by you to our Website; issue a warning to you; legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; further legal action against you; disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

We exclude liability for actions taken in response to breaches of these Website Terms of Use. The responses described in these Website Terms of Use are not limited, and we may take any other action we reasonably deem appropriate.

Disclaimers and Limitations of Liability

While we endeavor to ensure that the information on this Website is correct, we do not warrant that it is accurate, complete, or up to date. We may make changes to the material on this Website, at any time without notice.

To the maximum extent permitted by law, we provide you with this Website on the basis that we exclude all representations, warranties, conditions, and other terms which but for these Terms might affect this Website. You must bear the risks associated with the use of the Internet. This clause does not affect your statutory rights.

Governing Law and Jurisdiction

This Terms and Conditions shall be governed by the laws of People's Republic of China.Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) Zhejiang Sub-Commission for arbitration which shall be conducted in accordance with the CIETAC's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
